DhubSME Technologies Terms of Service

1. Acceptance of Terms

By accessing, registering for, or using DhubSME Technologies ("DhubSME," "we," "us," or "our") services, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services. These Terms apply to all users of DhubSME.com, regardless of location.

In the event of a dispute between you and DhubSME regarding the interpretation of these Terms, DhubSME's interpretation, in its reasonable commercial judgment, shall govern.

2. Description of Service

DhubSME provides a cloud-based business management platform that helps small and medium enterprises track inventory, manage sales, monitor revenue, analyze business performance, and streamline operations.

Our services include:

• Inventory management and tracking

• Sales and revenue analytics

• Employee management and performance tracking

• Financial reporting and insights

• Business intelligence dashboards

• Data backup and synchronization

3. Account Registration and Eligibility

To use our services, you must:

• Be at least 18 years old or age of majority

• Provide accurate, complete, current information

• Maintain and update your account information

• Keep account credentials confidential

• Take responsibility for all account activities

• Notify us of unauthorized account use

4. Acceptable Use Policy

You agree not to use our services to:

• Violate laws, regulations, or third-party rights

• Upload malicious code, viruses, or harmful content

• Gain unauthorized access to systems or accounts

• Interfere with service integrity or performance

• Use automated systems without permission

• Reverse engineer or extract source code

• Resell, redistribute, or sublicense services

• Use services for illegal activities or harm

5. Subscription Plans and Billing

Payment Methods

DhubSME accepts payments via Lipa Na Mpesa for clients in Kenya, and other payment methods such as card payments, Google Pay, and PayPal for clients outside Kenya.

Subscription Terms

• Services provided for specified subscription period

• Must renew before expiration to maintain access

• Check expiration date on Billing page

• Service suspension if not renewed by expiry

Automatic Renewal

Unless cancelled before renewal date, subscriptions automatically renew for the same period at current subscription fee.

Price Changes

We reserve the right to change pricing with 30 days' notice. Changes won't affect current billing cycle but apply to subsequent renewals.

6. Data Ownership and Usage Rights

Your Data

You retain ownership of all data you input. We don't claim ownership of your business data, customer information, or uploaded content.

License to Use

You grant us limited, non-exclusive license to use your data solely to provide our services, including storage, processing, and display.

Data Backup

While we maintain operational backups, you're responsible for your own copies. We recommend regular data exports.

7. Privacy and Data Protection

Your privacy is important to us. DhubSME guarantees that client contact information is securely stored with no sharing of such information with unauthorized third parties. For detailed information about how we collect, use, and protect your data, please review our Privacy Policy, which is incorporated into these Terms by reference.

8. Intellectual Property Rights

The DhubSME platform, including all software, designs, text, graphics, interfaces, and other content, is owned by DhubSME and protected by intellectual property laws.

You may not:

• Copy, modify, or create derivative works

• Remove or alter proprietary notices

• Use our trademarks without permission

• Claim ownership of any platform portion

9. Service Availability and Support

Technical Support

DhubSME provides 24-hour support, year-round. Communication channels include phone calls, SMS, and email support.

Service Uptime

While we strive for maximum uptime, we don't guarantee uninterrupted service. We may perform scheduled maintenance with advance notice.

Service Modifications

We reserve the right to modify, suspend, or discontinue any service aspect with reasonable notice when feasible.

10. Account Access and Termination

Account Restrictions and Termination by DhubSME

We may restrict access to certain application features or terminate your account if you:

  • Violate these Terms of Service
  • Engage in fraudulent or illegal activities
  • Pose a security risk to the platform or other users
  • Fail to pay subscription fees when due, which may result in limited access to specific features

Account Cancellation by You

You may cancel your account at any time via your account settings or by contacting our support team. Cancellation takes effect at the end of the current billing period.

Upon cancellation or termination, access to the platform will cease, and your data may be deleted after a grace period.

11. Refund Policy

Generally, DhubSME does not offer refunds for services rendered. However, we may provide refunds in these circumstances:

Service outages exceeding 48 consecutive hours due to our technical issues

Billing errors on our part

As required by applicable consumer protection laws

Refund requests must be submitted within 30 days of billing date and reviewed case-by-case.

12. Limitation of Liability

The services offered by DhubSME are provided on an "AS IS" and "AS AVAILABLE" basis. DhubSME expressly disclaims all warranties to the fullest extent permitted by law, including:

• Warranties of merchantability and fitness for purpose

• Warranties that service will meet your requirements

• Warranties of uninterrupted or error-free service

• Warranties regarding information accuracy or reliability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DHUBSME SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless DhubSME, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

15. Force Majeure

DhubSME shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet service failures.

14. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to conflict of law principles.

Resolution Process

Before formal legal proceedings, parties agree to attempt resolution through good faith negotiations. If unsuccessful, disputes resolved through binding arbitration or in Kenyan courts.

16. Severability

If any provision is found unenforceable or invalid, remaining provisions remain in full force, and the unenforceable provision will be replaced with an enforceable one that most closely reflects the original intent.

17. Entire Agreement

These Terms, together with our Privacy Policy and referenced policies, constitute the entire agreement between you and DhubSME regarding service use and supersede all prior agreements.

18. Amendments to Terms of Service

DhubSME reserves the right to modify these Terms at any time. We will notify users of material changes by posting updated Terms on our platform and updating the "Last updated" date. Your continued use after such changes constitutes acceptance of the updated Terms. If you don't agree to modified Terms, you must discontinue use of our services.
